These Terms & Conditions (“Terms”) govern your access to and use of the services, website, and platform provided by Crystal Ball Insights Private Limited*Company is under the process of incorporation. (“Company”, “we”, “us”, or “our”), including the Shrota™ platform and the GetAICATI™ brand. By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
- “Client” means any organisation or individual that enters into a service agreement with the Company for the use of the Shrota™ platform.
- “Platform” means the Shrota™ AI-powered CATI platform, including all associated software, APIs, dashboards, and tools.
- “Services” means the AI-powered telephone survey services provided through the Platform.
- “Survey Respondent” means any individual contacted through the Platform for the purpose of conducting a telephone interview.
- “User” means any person who accesses our website or uses our services.
2. Services overview
The Company provides AI-powered Computer-Assisted Telephone Interview (CATI) services through the Shrota™ platform. Our AI voice agents conduct structured telephone interviews in Hindi and other supported languages on behalf of Clients. The scope, terms, and pricing of services are defined in individual service agreements with each Client.
3. Eligibility & account obligations
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. If you are using the services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4. Acceptable use
You agree not to: (a) use the services for any unlawful purpose or in violation of any applicable law or regulation; (b) use the Platform to conduct surveys that are misleading, fraudulent, or designed to deceive respondents; (c) attempt to reverse-engineer, decompile, or disassemble any part of the Platform; (d) interfere with or disrupt the integrity or performance of the Platform; (e) use the services to collect data in violation of respondents' privacy rights; or (f) sublicense, resell, or redistribute access to the Platform without our prior written consent.
5. Intellectual property
All intellectual property in the Platform, including software, algorithms, AI models, user interfaces, documentation, and branding, is owned by Crystal Ball Insights Private Limited*Company is under the process of incorporation.. Shrota™ and GetAICATI™ are trademarks of the Company. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited licence to use the services as agreed. Survey data collected on behalf of Clients remains the property of the respective Client, subject to the terms of the applicable service agreement.
6. Data protection & privacy
Our collection and use of personal data is governed by our Privacy Policy. We process all data in accordance with the Digital Personal Data Protection Act, 2023 (DPDPA) and applicable Indian law. All data is stored on servers located in India. By using our services, you acknowledge and agree to our data practices as described in the Privacy Policy.
7. TRAI compliance
All telephone interviews conducted through the Platform are carried out in compliance with the Telecom Regulatory Authority of India (TRAI) regulations, including: (a) adherence to permissible calling hours; (b) scrubbing against the National Do Not Call (DND) Registry; (c) maintaining call-level audit trails; and (d) providing opt-out mechanisms for survey respondents. Clients are responsible for ensuring that their survey content and respondent lists comply with applicable laws.
8. Service availability & support
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Support terms, response times, and service levels are defined in individual service agreements.
9. Fees & payment
Fees for use of the Platform and services are set out in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issue. We reserve the right to suspend access to the Platform in the event of non-payment beyond the agreed credit period.
10. Confidentiality
Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party in connection with the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Limitation of liability
To the maximum extent permitted by applicable law: (a) the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of the services; (b) the Company's total aggregate liability under these Terms shall not exceed the fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim; and (c) the Company is not liable for any loss arising from factors beyond its reasonable control, including telecommunications failures, third-party service outages, or force majeure events.
12. Indemnification
You agree to indemnify and hold harmless the Company, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your use of the services in a manner not authorised by these Terms; or (c) any third-party claim arising from your survey content or respondent data.
13. Termination
Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. We may suspend or terminate your access to the Platform immediately if: (a) you breach these Terms; (b) you fail to pay fees when due; or (c) continued provision of services would violate applicable law. Upon termination, your right to use the Platform ceases. Data retention and return obligations are governed by the applicable service agreement and our Privacy Policy.
14. Governing law & dispute resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India. The parties agree to attempt resolution through good-faith negotiation before initiating formal legal proceedings.
15. Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email to registered Clients. Continued use of the services after such changes constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
